About the role
The Senior Executive will lead complex corporate governance matters within the Company Secretarial team, ensuring high‑quality, compliant service across a portfolio of fund structures. You will work closely with stakeholders, manage key corporate actions, provide technical guidance to junior team members and drive continuous improvements to enhance efficiency and client experience.
Key responsibilities
- Coordinate board and committee meetings by preparing board packs, drafting minutes and ensuring compliance with statutory and regulatory requirements.
- Manage complex corporate secretarial matters such as refinancing arrangements, constitutional amendments, share issuances, distributions and other structural transactions.
- Maintain AML/CFT compliance frameworks, review and approve corporate documentation, and oversee statutory and regulatory filings.
- Build and manage relationships with board members, regulators and external advisors while coaching junior team members.
- Oversee the full entity lifecycle—including onboarding, migrations and closures—and manage billing processes and complex fee‑related issues.
Required profile
- Relevant degree or progression toward ICSA/ACCA/ACA (minimum Level 2) with a commitment to corporate governance expertise.
- Robust experience in a similar role within the global business or financial services sector, handling corporate secretarial matters confidently.
- Strong hands‑on experience in corporate administration and company secretarial activities, with a focus on governance‑related processes.
- Solid understanding of the Companies Act, Financial Services Act and key legislation governing the global business sector in Mauritius.
