Group Governance Director

About the role

The Group Governance Director will lead Ocorian’s global governance function, shaping and overseeing governance across its worldwide legal entity structure. Reporting to the Head of Group Legal & Governance, this senior role works closely with Boards, executive leadership and senior stakeholders.

Key responsibilities

• Lead and develop the global Governance team, fostering a high‑performance culture and ensuring effective delivery of governance activities across all jurisdictions.
• Oversee governance arrangements for Ocorian’s legal entities, ensuring consistency, regulatory compliance and accurate statutory record‑keeping.
• Drive high‑quality board and committee governance, partnering with chairs, directors and executives to support effective decision‑making.
• Manage governance‑related risks, provide reporting to Boards and senior management, and support regulatory reviews and audits.
• Lead governance workstreams for acquisitions, integrations and restructurings, driving transformation through process improvement and technology adoption.

Required profile

• Professional qualification (CGI/ICSA or equivalent) with extensive senior‑level governance, company secretarial or legal entity management experience in a highly regulated environment.
• Proven track record advising Boards and senior executives in complex, international organisations.
• Deep understanding of corporate governance, company law and regulatory obligations.
• Experienced people leader capable of driving transformation and developing high‑performing teams.
