Independent Non-Executive Director

About the role

Independent Non-Executive Director will serve on the Board of GFA Insurance Ltd., providing objective oversight, strategic guidance and independent judgment on key business decisions. The role is based on‑site in Champ de Mars, Port Louis and involves regular board and committee meetings, performance review and monitoring of risk, compliance and governance.

Key responsibilities

• Attend board and committee meetings and review financial and operational performance.
• Monitor risk management, regulatory compliance and governance practices.
• Review major investments, policy initiatives and oversee internal control frameworks.
• Participate in board evaluations, succession planning and ensure stakeholder interests are considered.
• Challenge and support executive management while maintaining independence from day‑to‑day operations.

Required profile

• Strong background in corporate governance, board‑level decision‑making and strategic planning, preferably within financial services or insurance.
• Proficiency in risk management, regulatory compliance and internal control frameworks relevant to insurance companies.
• Experience analysing financial statements, capital adequacy and performance metrics.
• Excellent judgment, ethical standards and the ability to constructively challenge senior leadership.
• Prior board or senior leadership experience in a regulated industry; familiarity with Mauritian insurance regulation is an advantage.
• Relevant university degree in business, finance, law or related field; professional certifications in governance, risk or finance are beneficial.
• Capacity to commit sufficient time for meetings, committee work and preparation, and to be physically present on‑site as required.
