Corporate Governance Officer – Board & Committee Support

About the role

Citco is seeking a Corporate Governance Officer to join its Governance and Board Support team in Mauritius. The role will support the global governance framework of Citco entities by coordinating board and committee meetings, preparing documentation, and maintaining statutory records. You will work closely with senior management, directors and international stakeholders, gaining exposure to high‑level corporate governance processes.

Key responsibilities

• Coordinate and schedule Board, Committee and Management meetings across multiple jurisdictions.
• Prepare and distribute agendas, board packs and supporting documentation.
• Attend meetings, draft accurate minutes and maintain action trackers.
• Manage governance calendars and ensure meetings follow approved schedules.
• Assist in drafting board resolutions, written resolutions and other governance documents.
• Maintain statutory records, governance databases and corporate filing systems.
• Monitor compliance with internal governance standards and regulatory requirements.
• Liaise with directors, senior management and global stakeholders to gather information for governance activities.
• Prepare governance reports and maintain repositories of governance data.

Required profile

• Experience supporting board, committee or corporate governance functions.
• Strong organizational and detail‑oriented approach.
• Excellent written communication skills for preparing minutes and governance documents.
• Ability to work with senior stakeholders across different jurisdictions.
• Knowledge of statutory record‑keeping and compliance requirements.
