About the role
We are seeking a senior preparer to deliver comprehensive corporate secretarial and compliance services for private wealth portfolios of varying complexity. The role operates with minimal supervision, ensuring high‑quality deliverables and adherence to regulatory standards.
Key responsibilities
- Prepare and manage corporate secretarial matters for low to high complexity portfolios.
- Draft and circulate agenda, convocation letters, attendance lists, powers of attorney, and external director declarations for annual and board meetings.
- Write minutes for directors and shareholders/members meetings, both from recordings and templates.
- Draft resolutions with or without templates and update structure charts.
- Handle statutory changes, UBO identification and registration, dividend distributions, liquidations, and capital/share premium contributions.
- Open and manage bank accounts, review periodic bank files, and update signatories.
- Conduct client file reviews, due‑diligence (CDD) checks, bad‑press and world‑check assessments, and prepare related memos.
- Perform transaction monitoring, PEP identification, and serviced entity risk rating assessments.
Required profile
- Strong technical expertise in corporate secretarial and compliance processes.
- Ability to execute complex transactions with high attention to detail and quality assurance.
- Experience working independently with minimal supervision.
