About the role
We are seeking a Senior Executive to join our Company Secretarial team within a leading global Investor Services group. You will manage complex corporate secretarial matters, guide governance practices, and ensure statutory and regulatory compliance across a diverse portfolio of clients.
Key responsibilities
- Coordinate board and committee meetings, preparing board packs and minutes.
- Lead implementation of corporate governance policies and ensure compliance with statutory and regulatory requirements.
- Manage complex corporate secretarial matters such as refinancing arrangements, constitutional amendments, share issuances, distributions, and structural changes.
- Oversee full entity lifecycle including onboarding, migrations, closures, and billing processes.
- Maintain relationships with board members, external advisors, regulators, and service providers.
- Provide technical guidance and coaching to junior team members while upholding quality standards.
- Review and approve corporate documentation, statutory filings, and ensure adherence to governance frameworks.
- Ensure administrative quality control and risk management through AML/CFT compliance.
Required profile
- Significant experience in corporate secretarial functions within the investment or financial services sector.
- Strong knowledge of corporate governance, statutory and regulatory compliance.
- Proven ability to manage complex corporate transactions and entity lifecycles.
- Excellent stakeholder management skills, interacting with boards, regulators and external advisors.
- Leadership capability to coach and develop junior staff.
- Attention to detail and commitment to high‑quality, accurate documentation.
