Associate Executive – Secretarial (Corporate Governance)

About the role

We are seeking an Associate Executive to join our Secretarial team within a global Investor Services group. You will support corporate governance and regulatory activities, working closely with senior colleagues to ensure accurate and high‑quality deliverables.

Key responsibilities

• Prepare board packs, organise annual meetings, draft resolutions and maintain statutory registers.
• Assist with corporate actions such as director/auditor changes, share transactions, bank mandate updates and registered office changes, filing with relevant authorities (ROC, FSC, etc.).
• Conduct AML/KYC due diligence on directors, shareholders and related parties, following up on missing documentation.
• Support regulatory and compliance processes, including payment instructions, TRC applications, licence renewals and audit preparations.
• Maintain and update internal systems (e.g., Microgen 5Series) and manage electronic and physical document filing.

Required profile

• Strong attention to detail and ability to work in a structured, collaborative environment.
• Good understanding of corporate secretarial and regulatory requirements.
• Proactive attitude with the ability to flag client or service issues.

Required skills

• Experience with Microgen 5Series or similar secretarial software.
