Head of Legal and Company Secretary

About the role

The Head of Legal and Company Secretary will lead corporate governance across HSBC Mauritius, advising the Board and senior management on legal and governance matters while overseeing company secretarial functions.

Key responsibilities

• Lead and manage all Company Secretarial responsibilities for HSBC entities in Mauritius.
• Provide governance advice to the Board of Directors of HSBC Bank (Mauritius) Limited and to senior executives of HSBC Mauritius.
• Serve as the central point for legal risk management, supporting business lines, coordinating external counsel and ensuring compliance with local regulations.
• Oversee company secretarial matters for various HSBC vehicles incorporated in Mauritius.
• Monitor legal developments to minimise litigation, regulatory penalties and reputational risk.
• Complete mandatory Anti‑Bribery & Corruption, Anti‑Money Laundering and Sanctions training.

Required profile

• Qualified chartered secretary (CGI UK) and a law degree from a Commonwealth country.
• Qualified lawyer with substantial banking sector experience and prior company secretary responsibilities.
• Leadership experience and a strategic mindset.
• Strong communication and interpersonal abilities to engage with directors and senior executives.
• Proven problem‑solving skills and the ability to develop effective solutions to complex issues.
