About the role
We are seeking an Assistant Manager to deliver company secretarial services for Ocorian Administration (UK) Ltd., supporting a portfolio of private and listed funds. The role involves ensuring compliance with corporate governance standards, managing board processes, and coordinating with regulatory authorities.
Key responsibilities
- Convene and attend board and committee meetings, liaising with board members and relevant parties.
- Prepare agendas, action points, and minutes, ensuring timely distribution.
- Provide company secretarial support for the set‑up of corporate entities and limited partnerships across multiple jurisdictions.
- Maintain company records, share registrar functions, and oversee system maintenance.
- Ensure adherence to corporate governance principles and company secretarial procedures.
- Make stock‑exchange announcements as required.
- Coordinate preparation and circulation of board packs in collaboration with fund administration teams.
- Prepare notices, proxies, and supporting documents for General Meetings, working with legal advisors.
- Maintain effective communication with client teams at all levels.
Required profile
- Experience delivering company secretarial services to funds and corporate entities.
- Familiarity with corporate governance codes, listing authority requirements, and best practice procedures.
- Ability to manage board documentation and coordinate with legal and regulatory stakeholders.
